David,

on a laptop, I would argue for installing from scratch. The advantage of
upgrading is that most of the installed software will work because NT4 and
NT5 are quite similar. However, NT4 required lots of proprietary software
(supplied by IBM) to enable laptop functionality such as power management,
PC card services, plug and play, USB, etc. These drivers may interfere
with NT5's native drivers and this may be very hard to sort out
afterwards. In any case, the very first step (after a BIOS update) would
be to back-up all user data. Then you could give the upgrade a try. If
you're not satisfied, you can always start over from scratch. Or, if you
know someone who has a Win2000 recovery CD for your model TP, that would
be the most convenient solution.
