If you do a clean install it will ask for proof of the qualifying OS
Here is the table for the stock retail box,
=========================
Old OS xpHome xpPro
Windows 3.1 NO NO
Any Evaluation Version NO NO
Any Server Version NO NO
Windows 95 NO NO
Windows 98/Windows 98 SE YES YES
Windows Me YES YES
Windows NTŪ Workstation 3.51 NO NO
Windows NT Workstation 4.0 NO YES
Windows 2000 Professional NO YES
Windows XP Home Edition YES
==============================
Warning some versions of these OSes will not work, In spite of the chart.
Example the NTW 4.0 student version came with a warning that it is not upgradable.
So trying to use the CD from NTW4.0 student edition may not work and so forth.
