Doesn't sound like it to me.
I had very similar problems (holding connections and connecting at
decent speeds) with my 3com PC card modem, which had otherwise been
working fine for years. I sent it to 3com, got a replacement, and with
no software change at all the replacement worked perfectly. Modems do
fail!
